Terms of Service

These Terms of Service ("Terms") are an agreement between you and Shtello LLC ("Shtello Legacy," "we," "us," or "our") governing your use of shtellolegacy.com and the Shtello Legacy application (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

What Shtello Legacy does

Shtello Legacy lets you record private video messages, store them securely, and deliver them to people you choose, either on a date you schedule or through a check-in that releases your messages if you are no longer able to respond. You decide who receives each message and when.

Eligibility

You must be at least 18 years old to create an account and use the Service. By using the Service you represent that you are 18 or older and able to enter into this agreement.

Your account

You are responsible for the information you provide, for keeping your password secure, and for all activity under your account. Provide accurate contact details for yourself and for the recipients you name, and keep them current, since delivery depends on them. Notify us promptly at hello@shtellolegacy.com if you believe your account has been accessed without your permission.

The check-in and message delivery

The check-in periodically asks you to confirm you are still active. If you do not respond within the period you set, and after we send grace reminders, we will treat your scheduled messages as ready for release and deliver them to the recipients you named. You are responsible for setting a check-in period that fits your intentions and for responding to reminders. We are not able to verify a person's life status independently, and we act on the check-in and the instructions you configure. You are responsible for the accuracy of your recipients and your delivery settings.

Your content and your rights

You keep all rights to the messages you create. You grant Shtello LLC a limited, non-exclusive license to store, secure, process, and deliver your messages solely to provide the Service and carry out your delivery instructions. We do not claim ownership of your content, and we do not use it to train models or sell it.

Acceptable use

You agree not to use the Service to upload or share content that is illegal, that infringes the rights of others, that is fraudulent or harmful, or that depicts minors in any inappropriate way. You agree not to attempt to disrupt, reverse engineer, or gain unauthorized access to the Service. We may remove content or suspend accounts that violate these Terms or applicable law.

Memberships, billing, and refunds

A paid membership is required to send messages. Receiving a message is always free. Membership options and current prices are shown on our pricing page.

• Auto-renewal. Keepsake and Heirloom are billed annually and renew automatically at the end of each yearly term using your payment method on file, unless you cancel first.
• Cancellation. You may cancel at any time. Cancellation stops future renewals and takes effect at the end of your current paid period. You keep access until then.
• No refunds. Payments are non-refundable, including annual memberships and the one-time Legacy plan, except where a refund is required by law. Canceling stops future charges but does not refund the current or past periods.
• Our delivery commitment. Once you record and schedule a message on a paid plan, we intend to deliver it according to your instructions even if your membership later lapses, your card expires, or your account becomes inactive. We will not withhold an already-created scheduled message to force a renewal, and we will not delete a stored message to save space. Creating new messages and scheduling new sends requires an active paid plan.
• Price changes. We may change prices for future terms. If we change the price of your plan, we will give you notice before it applies to your next renewal, and you may cancel if you do not agree.

Recipients

When you name a recipient, you confirm you have a reasonable basis to share your message with that person and that their contact details are accurate. Recipients do not need a paid account to receive or watch a message addressed to them. We deliver to each recipient only the messages you addressed to them, along with your name as the sender.

Service availability

We work to keep the Service reliable and secure, but we provide it on an "as is" and "as available" basis. We do not guarantee that the Service will be uninterrupted, error free, or that any particular message will be delivered at an exact moment, and factors outside our control, including recipient contact details, email and text delivery, and network conditions, can affect delivery. To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the maximum extent permitted by law, Shtello LLC and its owners, employees, and vendors will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, or goodwill, arising from your use of or inability to use the Service. To the maximum extent permitted by law, our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the claim. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate access if you violate these Terms or applicable law, or to protect the Service and its users. Where reasonable and lawful, we will give you notice and an opportunity to retrieve your messages before closing an account.

Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the date above and, where appropriate, notify you. Your continued use of the Service after an update means you accept the revised Terms.

Governing law

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict of laws rules. You agree that the state and federal courts located in New Jersey will have jurisdiction over any dispute that is not otherwise resolved.
